Novanta Research
Terms & Conditions
The terms governing website access, product purchases, accounts, affiliate participation and services.
Effective and last updated: October 18, 2026
1. Introduction and Acceptance of Terms
Welcome to Novanta Research.
These Terms & Conditions govern access to our website, purchases of our products, participation in our affiliate program, and use of services provided by Novanta Research.
By accessing our website, creating an account, or placing an order, you acknowledge that you have read and agree to these Terms & Conditions and any applicable policies referenced herein.
If you do not agree with these terms, please discontinue use of our website and services.
Novanta Research reserves the right to refuse transactions, restrict access, or cancel orders when necessary to comply with applicable laws, protect our business, or prevent fraudulent activity.
2. Research Use Only
Novanta Research supplies specialty research compounds and laboratory materials intended exclusively for legitimate scientific research and laboratory applications.
Unless expressly identified otherwise, our products are intended for in-vitro research and laboratory analysis only.
Our research products are not intended for:
- Human or animal consumption or administration.
- Medical diagnosis, treatment, cure, mitigation, or prevention of disease.
- Personal therapeutic or recreational use.
- Unauthorized clinical or veterinary applications.
- Any unlawful purpose.
Products are not represented as FDA-approved medications or as safe or suitable for human or animal administration.
Novanta Research does not provide medical advice, dosing recommendations, treatment protocols, or guidance for personal use.
Customers are responsible for ensuring that their purchase, possession, handling, storage, and use of research materials comply with applicable laws and regulations.
3. Customer Eligibility
Purchasers must be at least 21 years old and legally authorized to purchase the products ordered.
By placing an order, customers represent that the products are being acquired for legitimate, lawful research purposes.
Novanta Research may request additional documentation to verify purchaser identity, professional qualifications, research purpose, or organizational affiliation.
We reserve the right to decline or cancel orders that fail verification or present reasonable concerns regarding unauthorized use.
Providing false or misleading information may result in account restrictions or order cancellation.
Before proceeding to hosted checkout, purchasers must separately affirm their age, lawful laboratory purpose and acceptance of the current purchase terms. That declaration is recorded with the checkout attempt; it is not independent proof of identity, qualifications or lawful intended use. Additional verification may be requested before order acceptance.
4. Product Quality and Laboratory Testing
Novanta Research is committed to providing research materials supported by transparent and reliable analytical documentation.
Where available, products may be accompanied by third-party laboratory testing documentation and batch-specific Certificates of Analysis (COAs).
Testing may include product identity, purity, and other applicable analytical assessments.
Available COAs may be accessed through product pages or QR codes associated with eligible products.
A Certificate of Analysis reflects the laboratory’s findings for the sample tested using the methods described. It does not guarantee the results of every individual unit or establish suitability for human or animal use.
We reserve the right to update analytical documentation when additional verified testing information becomes available.
5. Independent Laboratory Testing Guarantee
Novanta Research stands behind the accuracy of its advertised product identity and published product specifications.
Customers who independently test a purchased product and receive results indicating a material discrepancy may submit a quality claim.
Eligible discrepancies include:
- A verified mismatch between the advertised product identity and the tested material.
- A confirmed failure to meet applicable advertised purity specifications.
- Another substantiated discrepancy involving published product specifications.
Required Documentation
Customers should provide:
- Their original Novanta Research order number.
- Photographs of the vial or product and its identifying labels.
- The applicable batch or lot number, when available.
- A complete independent laboratory report.
- The analytical testing methodology and supporting findings.
- Documentation reasonably establishing that the tested material originated from the purchased product.
Testing must be performed by an appropriately qualified independent laboratory using methods suitable for the material and claimed discrepancy.
Quality Claim Resolution
When a qualifying discrepancy is verified, Novanta Research will offer an appropriate remedy, which may include:
- A full refund of the affected product’s purchase price to the original payment method.
- A replacement of the affected product at no additional product cost.
- Store credit, if the customer prefers.
Reasonable, documented third-party laboratory testing costs may also be reimbursed under an approved quality claim, subject to the published guarantee terms.
Novanta Research may seek clarification from the testing laboratory or arrange additional independent verification where necessary.
Claim Submission Period
Customers are requested to submit independent laboratory quality claims within 30 calendar days of carrier-confirmed delivery.
Claims submitted outside this period may still be reviewed where required by law or where exceptional circumstances justify additional consideration.
The applicable advertised specifications, validated methods, and relevant measurement uncertainty will be considered when reviewing testing results.
6. Refund and Replacement Policy
Due to the specialized nature of research materials, the importance of maintaining product integrity, and potential storage or contamination concerns, Novanta Research generally does not accept physical returns of products after shipment.
However, eligible customers may qualify for a refund, replacement, or store credit under the circumstances described below.
Eligible Circumstances
Refund or replacement claims may be considered when:
- Products arrive damaged or broken.
- An order contains incorrect products.
- Products are missing from a shipment.
- A product has a verified manufacturing or packaging defect.
- Independent testing substantiates a material product-quality discrepancy.
- Another remedy is required under applicable law.
Refunds will ordinarily be processed to the original payment method.
Store credit or replacement may be offered when appropriate and accepted by the customer.
7. Damaged, Broken, or Missing Products
Customers should inspect their orders promptly after delivery.
If a package contains damaged, broken, missing, or incorrect items, customers are requested to contact Novanta Research within 3 calendar days of carrier-confirmed delivery.
Claim Requirements
Please provide:
- Your order number.
- A description of the issue.
- Clear photographs of affected products.
- Photographs of the original packaging and shipping label, when available.
- Additional photographic or video documentation when reasonably necessary.
Customers should retain damaged products and packaging until the claim has been reviewed.
Approved Claims
For verified claims, Novanta Research may provide a replacement, refund, or store credit, as appropriate.
Approved replacements will be shipped without additional standard shipping charges.
Failure to provide a particular photograph or retain packaging will not automatically invalidate a legitimate claim when other sufficient evidence is available.
8. Circumstances Where Refunds May Be Limited
Subject to applicable law, discretionary refunds or replacements may be unavailable when:
- A customer changes their mind after an order has shipped.
- A product was damaged through improper handling, storage, or unauthorized use after delivery.
- A customer provides materially inaccurate or fraudulent claim information.
- A product was altered or contaminated after delivery, preventing reliable assessment of the alleged defect.
- A claim lacks sufficient evidence to establish eligibility after reasonable opportunities to provide documentation.
Initiating a lawful chargeback does not automatically eliminate applicable refund or consumer protection rights.
Novanta Research may coordinate claim handling with the payment processor to prevent duplicate reimbursements.
Nothing in these Terms eliminates rights or remedies that cannot lawfully be waived.
9. Refund and Replacement Processing
Novanta Research aims to review complete refund and replacement claims within 3–5 business days.
Claims requiring additional documentation, carrier investigation, or independent laboratory verification may require additional processing time.
Approved refunds will be initiated promptly to the original payment method.
The time required for funds to appear depends on the payment provider and financial institution.
Approved replacement orders will generally be prepared for shipment within 3–5 business days, subject to inventory availability.
Customers will be notified when additional review time is necessary.
10. Order Processing and Shipping
Novanta Research fulfills orders through its U.S.-based operations.
We strive to process and ship paid, approved orders promptly.
Our target is to ship eligible in-stock orders within 7 business days of payment confirmation and completion of any necessary verification.
Shipping estimates may be affected by inventory availability, holidays, carrier delays, weather conditions, or circumstances outside our reasonable control.
Customers are responsible for providing accurate shipping information.
Tracking details will be supplied when available.
Novanta Research may delay, restrict, or cancel shipments to destinations or recipients that do not satisfy applicable legal, carrier, or compliance requirements.
11. Lost or Delayed Shipments
Customers experiencing delivery issues should contact our support team.
Novanta Research may investigate lost or delayed shipments using available carrier tracking information and delivery documentation.
When a shipment is confirmed lost or otherwise qualifies for relief, we will provide an appropriate resolution consistent with applicable law and the circumstances of the order.
Carrier delivery scans are relevant evidence but are not necessarily conclusive proof that a shipment reached the intended recipient.
12. Order Cancellations
Customers may request cancellation before shipment.
We will make reasonable efforts to accommodate requests before fulfillment is completed.
Once an order has been transferred to the carrier, cancellation may no longer be possible.
Orders already shipped remain subject to the applicable refund and replacement provisions.
Novanta Research may cancel orders because of inventory issues, suspected fraud, payment verification concerns, pricing errors, or legal and compliance restrictions.
If Novanta Research cancels a paid, unfulfilled order, the applicable payment will be refunded.
13. Pricing, Promotions, and Discounts
All product prices are displayed in U.S. dollars unless otherwise indicated.
Prices, promotional offers, product availability, and discount programs may change without advance notice, subject to applicable law.
Promotional codes may have expiration dates, product exclusions, minimum purchase requirements, or other published conditions.
Unless expressly authorized, promotional discounts may not be combined.
Novanta Research reserves the right to correct obvious pricing errors and cancel affected unfulfilled orders with an appropriate refund.
14. Payment Processing
Novanta Research accepts payment methods displayed at checkout.
Transactions are processed through authorized third-party payment providers.
We may review transactions for suspected fraud, unauthorized payment activity, or inaccurate billing information.
Payment approval does not guarantee order acceptance when additional legal or compliance review is required.
Customers retain applicable payment dispute rights.
15. Affiliate and Referral Program
Novanta Research may offer eligible participants the opportunity to earn commissions through an approved affiliate referral program.
Affiliate participation is subject to separate Affiliate Program Terms and any applicable written program rules.
Referral codes, discount percentages, commission rates, qualification thresholds, and payment schedules are determined by the current affiliate program.
Affiliates are responsible for accurately representing Novanta Research products and clearly disclosing material referral relationships when legally required.
Affiliates may not make unauthorized medical, therapeutic, personal-use, or misleading product claims.
Commissions may be adjusted or withheld for refunded orders, fraudulent activity, ineligible transactions, or violations of affiliate requirements.
Novanta Research reserves the right to suspend or terminate participation for legitimate program violations.
16. Product Information and Scientific Documentation
Product descriptions, analytical results, research references, and other technical materials are provided for legitimate research and informational purposes.
Such information does not constitute medical advice or approval for human or animal use.
Customers should independently assess whether products are appropriate for their lawful research applications.
Novanta Research makes reasonable efforts to maintain accurate product information and may correct errors or update technical specifications when appropriate.
17. Account Registration and Security
Customers who create an account are responsible for maintaining accurate registration information and protecting their login credentials.
Customers must not impersonate another individual, provide fraudulent information, or use another person’s account without authorization.
Novanta Research may suspend accounts when reasonably necessary to investigate fraud, security threats, or material violations of these Terms.
Account registration does not automatically establish eligibility to purchase restricted research materials.
18. Privacy and Data Protection
Novanta Research respects the privacy of its customers and website visitors.
We collect and process personal information as described in our Privacy Policy.
Information may be used for account administration, order processing, payment verification, shipping, customer service, fraud prevention, and authorized communications.
Information may be shared with service providers when reasonably necessary to perform these functions or comply with legal obligations.
Customers should review the separate Privacy Policy for additional details regarding data handling, retention, and applicable privacy rights.
19. SMS and Text Messaging Terms
Website staff text sending, including free-form, promotional and test texts, is currently paused pending verification of consent records and opt-out handling. A checkout phone number does not authorize marketing texts.
Any future messaging program must use appropriate consent mechanisms and communicate its purpose, frequency, applicable carrier charges and opt-out/support instructions before activation. Separate appropriate consent is required for promotional texts. STOP/HELP and other applicable consent-revocation handling must be verified before such a program is enabled.
Mobile phone numbers and SMS consent records will not be sold or shared with third parties for their independent marketing. Information may be provided to messaging vendors as necessary to deliver authorized communications. Carrier delivery is not guaranteed. Contact support through the contact page for assistance while text sending is paused.
20. Intellectual Property
All original website content, trademarks, logos, branding, graphics, written materials, and proprietary information belonging to Novanta Research are protected by applicable intellectual property laws.
Unauthorized reproduction, redistribution, or commercial use is prohibited without appropriate written permission.
Third-party trademarks and materials remain the property of their respective owners.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Novanta Research will not be liable for indirect, incidental, special, or consequential damages arising from unauthorized product use or inability to access its website.
Where legally permitted, liability arising from a specific product purchase will generally be limited to the amount paid for the product giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
22. Customer Indemnification and Hold Harmless
To the extent permitted by applicable law, the customer agrees to indemnify and hold harmless Novanta Research and its owners, officers, directors, employees and authorized representatives (the protected parties) from third-party claims, liabilities, damages and reasonable costs and expenses, including reasonable attorneys’ fees, directly resulting from the customer’s unlawful use of the materials, material misrepresentation concerning purchaser eligibility or intended use, or material breach of these Terms & Conditions.
This obligation applies only to the extent the customer’s conduct caused the claim. It does not apply to the extent a claim results from a protected party’s own negligence, misconduct or violation of applicable law. It does not require indemnification for legitimate customer claims arising from a product defect attributable to a protected party.
A protected party seeking indemnification will provide reasonably prompt notice and reasonable cooperation. A failure to provide prompt notice reduces the obligation only to the extent it materially prejudices the customer. No settlement may impose an admission, nonmonetary obligation or unreimbursed liability on the customer without the customer’s written consent; likewise, no settlement may impose such obligations on a protected party without that party’s written consent.
Nothing in this provision waives nonwaivable consumer rights, lawful payment-dispute rights or obligations imposed by applicable law. It does not provide immunity from regulatory action or excuse unlawful sales, labeling, marketing or other conduct by any protected party.
23. Compliance With Applicable Laws
Customers are responsible for complying with laws and regulations applicable to their purchase, possession, handling, storage, and use of research materials.
Novanta Research reserves the right to refuse or cancel transactions when required by law or when legitimate compliance concerns arise.
Nothing in these Terms authorizes conduct prohibited by applicable federal, state, or local law.
24. Changes to Terms & Conditions
Novanta Research may update these Terms periodically.
Revisions will be posted on our website with an updated effective date.
Where legally required, material changes will be communicated through appropriate notice procedures.
Changes will not retroactively eliminate rights that customers already possess under applicable law.
25. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
